Your Impact? This position is a member of the investment team which is responsible for INPRS’ multi-billion dollar investment portfolio.
As a member of the Investment Legal & Stewardship Team, the Investment Attorney is responsible for due diligence on investment legal and regulatory matters with the INPRS portfolio.
Additionally, the Investment Attorney will manage the work performed by external counsel.
The role will collaborate and maintain relationships with a wide variety of industry specialists, third-party vendors, INPRS investment leadership, and other INPRS departments.
Essential Duties: Negotiate and advise on legal issues that pertain to the execution of investment transaction documents, fund administration, and corporate regulatory compliance.
Counsel on real estate matters, including negotiating and drafting leases, property management matters, insurance, tax exemption filings, and addressing liability concerns.
Manage global custody arrangement to ensure securities and tax compliance in foreign jurisdictions.
Legal due diligence for alternative investments, including reviewing offering documents, completing subscription documents, negotiating side letters and MFN elections, and work with Investment Operations on anti-money laundering and “know your customer” documents.
Legal review various investment regulatory matters relating to Sudan & Terror States, AML, FINRA, CFTC Legal review of alternative fund governance matters (i.
e.
, LPA consents and amendments for private equity funds and hedge funds) Periodic training to assist non-legal investment staff in issue spotting potential business, legal, compliance or risk issues.
Compliance liaison for various transactional and regulatory matters (e.
g.
, interpretations for compliance with Investment Policy Statement, monitoring placement agent fees, etc.
) Conduct legal research, analyze legal issues and preparation of legal memoranda as may be directed by Chief Investment Officer and Investment Counsel Carry out other legal duties as assigned by the Chief Investment Officer, Deputy Chief Investment Officer, and Investment Counsel.
Job Requirements: Considerable skill in using a computer in a Windows environment with word processing, spreadsheet, presentation, database, and other business software to prepare correspondence, spreadsheets, charts, and reports.
Exceptional skill in planning, organizing, and prioritizing work assignments to manage a high-volume workload in a fast-paced, changing environment and in completing detailed work with a high degree of accuracy.
Excellent verbal and / or written communication of complex information that is accurate, timely and based on sound judgment, and in making presentations to groups with varied levels of investment knowledge.
Excellent judgment and critical thinking skills.
Ability to establish and maintain harmonious working relationships with co-workers, agency staff, and external contacts, and to work effectively in a professional team environment.
Ability to travel as needed in order to conduct due diligence on investment managers and monitor current managers / investments.
Experience and Qualifications: Juris Doctor Law Degree is required.
Bachelor’s degree from an accredited four-year college or university is required.
7 or more years of professional experience is preferred with 3 to 5 of those years in corporate/securities law with exposure to alternative investment transactions.
